By accessing, browsing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, each of which is incorporated herein by reference. If you do not agree to all of these terms and conditions, you must immediately cease all use of the Service and refrain from accessing the Site.

The Service is offered only to individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is older. This license does not include any right to resell, sublicense, distribute, copy, modify, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit any portion of the Service or its underlying software, except to the extent expressly permitted by applicable law. All rights not expressly granted to you are reserved by Plagionite and its licensors.

To access certain features of the Service, you may be required to register for an account, choose a password, and provide certain information. 3. User Obligations

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms and all applicable federal, state, and local laws and regulations, including but not limited to consumer protection, data privacy, and intellectual property laws such as the CCPA/CPRA and other state privacy laws where applicable. This includes, without limitation, attempting to probe, scan, or test the vulnerability of any system or network, breaching or circumventing any security or authentication measures, accessing or attempting to access accounts or data belonging to others, using any automated system or software to extract data from the Service, or engaging in any fraudulent or deceptive practices. Violation of these obligations may result in immediate termination of your account and may subject you to civil and criminal liability.

4. Intellectual Property Rights

All content, materials, software, code, designs, graphics, logos, trademarks, service marks, trade names, text, images, audio, video, data compilations, and other intellectual property displayed on or accessible through the Service (collectively, "Company Content") are the property of Plagionite, its affiliates, licensors, or content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Nothing in these Terms shall be construed as granting any license or right to use any Company Content except as expressly authorized herein.

The plagionite.xyz name, logo, and all related product and service names, design marks, and slogans are trademarks or registered trademarks of Plagionite or its affiliates. You may not use, reproduce, modify, distribute, or display any Company Content or trademarks without the prior written consent of Plagionite, except as necessary for your permitted use of the Service. Any unauthorized use of Company Content may violate copyright, trademark, and other applicable laws and may result in civil or criminal penalties.

5. Limitation of Liability

To the maximum extent permitted by applicable US state law, Plagionite, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, business interruption, or other intangible losses, arising out of or relating to your access to, use of, or inability to use the Service, regardless of whether such damages are based on warranty, contract, tort (including negligence), statute, or any other legal theory, and even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Plagionite for the Service during the twelve (12) month period immediately preceding the event giving rise to liability, or (b) one hundred United States dollars (US $100) if you have not paid any fees to use the Service. This limitation of liability applies to the fullest extent permitted by law and shall survive any termination of your account or these Terms.

Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms shall limit or exclude our liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be excluded or limited under applicable law.

6. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, except as expressly set forth herein. To the fullest extent permitted by applicable US state law, Plagionite disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing, usage, or trade. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components, or that any defects will be corrected.

Any advice, recommendation, or information obtained through the Service, whether oral or written, does not create any warranty not expressly stated in these Terms. You understand and agree that your use of the Service is at your sole risk and that you are solely responsible for any damage to your computer system or mobile device or loss of data that results from your use of the Service or downloading any material from the Service.

The Service may not be available in all jurisdictions, and we make no representation that the Service is appropriate or available for use in any particular location. Those who choose to access the Service from jurisdictions outside the United States do so at their own initiative and are responsible for compliance with all applicable local laws. The disclaimers set forth in this section shall apply to the maximum extent permitted by law and shall survive any termination of these Terms.

7. Indemnification

You agree to defend, indemnify, and hold harmless Plagionite, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to your use of the Service, your User Content, your violation of these Terms, your violation of any rights of another, or your violation of any applicable law, rule, or regulation.

This indemnification obligation includes, but is not limited to, claims arising from your negligence or willful misconduct, your unauthorized use of the Service or Company Content, your failure to comply with applicable data privacy laws such as the CCPA/CPRA, and any dispute between you and any third party arising from your use of the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such event, you agree to cooperate with our defense of such claim.

You agree that the provisions of this section are intended to benefit Plagionite and its affiliates, officers, directors, employees, agents, licensors, and service providers, each of whom may assert the right to enforce this indemnity directly against you. This indemnification obligation shall survive any termination of your account or these Terms and shall apply regardless of whether a claim arises during or after the term of your use of the Service.

8. Governing Law

These Terms and any dispute or claim arising out of or relating to these Terms, the Service, or your relationship with Plagionite shall be governed by and construed in accordance with the applicable US state law of the jurisdiction in which Plagionite is organized and maintains its principal place of business, without regard to its conflict of law provisions or the United Nations Convention on Contracts for the International Sale of Goods.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree that any legal action or proceeding between you and Plagionite shall be brought exclusively in the federal or state courts located in the jurisdiction of Plagionite's principal place of business, and you hereby consent to the personal jurisdiction and venue of such courts. Nothing in this section shall affect the enforceability of the arbitration and dispute resolution provisions set forth below.

Each party hereby waives any objection to jurisdiction and venue in such courts. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of any dispute. This governing law section shall survive any termination of these Terms.

9. Dispute Resolution

9.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties agree first to attempt in good faith to resolve the dispute informally by contacting the other party. The parties shall negotiate in good faith for a period of at least thirty (30) days following written notice before initiating any formal proceedings.

9.2 Binding Arbitration

If the parties are unable to resolve the dispute informally, you and Plagionite agree to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Service through final and binding individual arbitration administered by a nationally recognized arbitration organization pursuant to its applicable commercial arbitration rules and procedures. The arbitration shall be conducted in the English language in the jurisdiction of Plagionite's principal place of business, unless otherwise agreed by the parties.

9.3 Class Action Waiver and Opt-Out

You and Plagionite agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, OR CLASS ARBITRATIONS. If you do not wish to be bound by this arbitration provision and class action waiver, you must notify us in writing at [email protected] within thirty (30) days of the date you first accept these Terms.

10. Termination

Plagionite reserves the right, in its sole discretion and without prior notice, to suspend, restrict, disable, or terminate your access to all or any part of the Service, including your account, at any time and for any reason, including but not limited to your breach of these Terms, suspected fraud, abuse, or illegal activity, or nonpayment of fees. Upon termination, your right to use the Service will immediately cease, and you must immediately discontinue all use of the Service and destroy any copies of materials obtained from the Service.

You may terminate your account at any time by following the instructions provided in the Service or by contacting us at [email protected]. Termination of your account does not relieve you of any obligation to pay any accrued fees or charges, nor does it limit any liability that you may have incurred prior to termination. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitation of liability, governing law, and dispute resolution.

Following termination, we may delete or retain your User Content and account information in accordance with our Privacy Policy and applicable law. We shall not be liable to you or any third party for any termination of your access to the Service or deletion of your data. You acknowledge that termination may result in the forfeiture and destruction of information associated with your account.

11. Changes to Terms

Plagionite reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time. When we make material changes, we will post the updated Terms on this page and update the "Last Updated" date at the top of the Terms. We may also provide additional notice through the Service or by email at the address associated with your account. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms.
